User Terms and Conditions<\/span><\/u><\/b><\/p>\n

EFFECTIVE DATE: 19\/05\/2021, v1. <\/span><\/i><\/p>\n

THESE TERMS AND CONDITIONS OF USE (THE \u201cTERMS<\/b>\u201d) HAVE LEGAL EFFFECT BETWEEN YOU AND THE COLART ENTITY PROVIDING YOU WITH ACCESS TO THE COLART SYSTEMS OR WEBSITES (\u201cCOLART<\/b>\u201d, THE \u201cSYSTEM<\/b>\u201d). BY USING THE SYSTEM, YOU AGREE TO COMPLY WITH AND BE BOUND BY THE FOLLOWING TERMS WITHOUT LIMITATION OR QUALIFICATION. PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SYSTEM. IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE NOT GRANTED PERMISSION TO USE THE SYSTEM. <\/span><\/p>\n

For purposes of these Terms, the term \u201cYou<\/b>\u201d or \u201cYour<\/b>\u201d means the person and\/or company which is being licensed to obtain remote, electronic access to all data contained on the System. <\/span><\/p>\n

ACCESS <\/span><\/u><\/b><\/p>\n

Colart hereby grants You a non-exclusive, non-transferrable, non-assignable, licence to access the System. Colart will continue to provide You access to the System for as long as Colart deems appropriate or, to the extent applicable, the Colart Customer authorises such access. The term \u201cColart Customer<\/b>\u201d shall refer to the specific Colart customer, to the extent applicable, that has provided authorisation for You to access its electronic data contained in the System. Colart will continue to improve and update the System and will allow You access to the System as it may exist and be available on any given day and Colart shall have no other obligations to You, except as expressly stated in these Terms. Colart may refuse access to, suspend or discontinue Your access to the System partially or entirely, at Colart\u2019s sole discretion. \u00a0<\/span><\/span><\/p>\n

INADVERTENT ACCESS<\/span><\/u><\/b><\/p>\n

If You inadvertently access any content on the System related to or in connection with any Colart Customer which is unrelated to Your or Your company\u2019s business relationship with Colart, You agree to inform Colart immediately without delay and delete any such content to the extent the content is in Your possession. Colart may refuse access to, suspend or discontinue Your access to the System partially or entirely, at Colart\u2019s sole discretion, if You do not comply with the obligations contained in this paragraph.<\/span><\/p>\n

USE <\/span><\/u><\/b><\/p>\n

You may: (a) view, use and customise the content on the System; and (b) download, print, store and\/or distribute the content on the System, in each case, strictly only in the course of Your or Your company\u2019s business relationship with Colart and subject to the restrictions in the paragraph immediately below.<\/span><\/p>\n

Unless You have received prior written authorisation from Colart, You agree not to: (a) copy, translate, modify or make derivative works of the System or the content on the System or any part thereof; (b) redistribute, sublicense, rent, publish, sell, assign, lease, market, transfer, or otherwise make the System or the content on the System or any part thereof available to third parties; (c) reverse engineer, decompile or otherwise attempt to extract the source code of the System or any part thereof; (d) use the System or the Content on the System in any manner that is contrary to law including, without limitation, without appropriate permission, privacy laws, intellectual property laws, export control laws and regulatory requirements; (e) introduce, upload or otherwise initiate any content that contains a software virus, worms or any other computer code, files or programs that interrupt, destroy or limit the functionality of the System or any content on the System; (f) attempt to override any security component included in or underlying the System; (g) share Your password or logon details with anyone; or (h) use the data, information or any content viewed while using the System to provide any service that is competitive with Colart or contrary to letter or spirit of the business relationship with Colart. <\/span><\/p>\n

CONFIDENTIALITY <\/span><\/u><\/b><\/p>\n

You agree to the following with respect to any information contained in the System and any information relating to Colart\u2019s business or Colart Customer\u2019s business, regardless of whether it is marked \u201cconfidential\u201d or otherwise (collectively, \u201cConfidential Information<\/b>\u201d): You shall not disclose, divulge, publish or disseminate the Confidential Information except as expressly authorised by Colart, Colart\u2019s Customer and these Terms. You may disclose Confidential Information to the extent required by applicable national, federal, state or local law, regulation, court order, or other legal process, provided You have given Colart prior written notice of such required disclosure.<\/span><\/p>\n

PRIVACY AND COOKIES<\/span><\/u><\/b><\/p>\n

Privacy is important to Colart. You agree and understand that Colart may process Your personal information in accordance with Colart\u2019s Privacy Policy, available at: https:\/\/www.colart.com\/en\/privacy-policy\/<\/a>. Colart may use cookies on its System in\u00a0<\/span>accordance with Colart\u2019s Cookie Policy, available at: https:\/\/www.colart.com\/en\/cookie-policy\/<\/a>.<\/span><\/p>\n

INDEMNIFICATION <\/span><\/u><\/b><\/p>\n

To the extent authorised by law, You agree to indemnify and hold harmless Colart and\/or Colart\u2019s Customer, their employees, officers, directors, affiliates, and agents from and against any and all claims, losses, expenses, damages, and costs, including reasonable attorney\u2019s fees, resulting directly or indirectly from or arising out of: (a) Your violation of these Terms; and\/or (b) Your use of any of the System. <\/span><\/p>\n

INTELLECTUAL PROPERTY <\/span><\/u><\/b><\/p>\n

Use of the System does not give You ownership of any intellectual property right in the System or any content accessed on the System. These Terms do not grant You the right to use any branding or logos of Colart unless specifically authorised in writing by Colart. Colart and its licensors own and reserve all intellectual property rights in the System and all content on the System (including, but not limited to, all copyright (\u00a9 2021 Colart)), and You agree that You will not do anything to infringe or prejudice those rights. <\/span><\/p>\n

DISCLAIMERS <\/span><\/u><\/b><\/p>\n

Colart is providing the System on an \u201cas is\u201d and \u201cas available\u201d basis. Accordingly, Colart does not provide any express warranties or representations and, to the extent allowed by law, disclaims any and all implied warranties and representation, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, accuracy or completeness of content and non-infringement. Colart does not guarantee that the System will function without interruption or errors in functioning. In particular, the operation of the System may be interrupted due to maintenance, updates or system or network failures. <\/span><\/p>\n

COLART DISCLAIMS ALL LIABILITY FOR ANY DAMAGES CAUSED BY ANY SUCH INTERRUPTION OR ERRORS IN FUNCTIONING. COLART ALSO DISCLAIMS ANY LIABILITY FOR ANY MALFUNCTIONING, IMPOSSIBILITY OF ACCESS, OR POOR USE CONDITIONS OF THE SYSTEM DUE TO INAPPROPRIATE EQUIPMENT, DISTURBANCES RELATED TO INTERNET SERVICE PROVIDERS, TO THE SATURATION OF THE INTERNET NETWORK AND FOR ANY OTHER REASON. <\/span><\/p>\n

NO RELIANCE<\/span><\/u><\/b><\/p>\n

The System may include examples, forms and other general information provided by Colart or third parties, however, any such information and sample templates on the System are for example purposes only, and may not be suitable to Your circumstances and should not be considered as a substitute for professional advice from Colart personnel. <\/span><\/p>\n

Colart is not responsible for any loss, damage or cost resulting from any decisions that are\u00a0<\/span>made in reliance on the System, including legal, compliance and\/or risk management decisions. You\u00a0<\/span>agree that You use the System and all content on the System at Your own risk in these respects.<\/span><\/p>\n

LIMITATION OF LIABILITY <\/span><\/u><\/b><\/p>\n

Your use of the System is at Your sole risk. Colart is not liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of products, use, data or other intangible losses even if Colart has been advised of the possibilities of those damages, resulting from Your use or inability to use the System. To the extent any local applicable laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages in Your use of the System, some or all of the above disclaimers, exclusions or limitations may not apply to You and You may have additional rights. <\/span><\/p>\n

CHANGES TO THESE TERMS<\/span><\/u><\/b><\/p>\n

Colart may post changes to these Terms via the System, and such changes shall be effective from the next time You use the System.<\/span><\/p>\n

TERM <\/span><\/u><\/b><\/p>\n

These Terms are in effect until terminated and may be terminated by either You or Colart at any time. In the event of termination, the disclaimers, indemnification and limitation of liabilities set forth herein will survive such termination. Colart reserves the right, in addition to its other rights, to discontinue, suspend and\/or restrict Your ability to access, visit and\/or use the System or any portion thereof, for any or no reason, with or without notice. These Terms govern the relationship between You and Colart regarding access to the System. These Terms do not create any third party rights.<\/span><\/p>\n

GOVERNING LAW AND JURISDICTION<\/span><\/u><\/b><\/p>\n

These Terms are governed by English law and any dispute shall be subject to the exclusive jurisdiction of the English courts. <\/span><\/p>\n
